General Terms and Conditions of Use (GTCU)

Welcome to globaldataandbi.com (the “Site”). By browsing the Site or submitting any form on it, you acknowledge that you have read, understood, and accepted these General Terms and Conditions of Use (“GTCU” or “Terms”), without limitation or reservation. If you do not agree, do not use the Site. These Terms apply in addition to, not instead of, our Privacy Policy, which governs how we handle personal information you submit.

The Site describes GDBI’s data engineering, business intelligence, and AI/ML consulting services and the Noème.AI product suite, and lets you submit a contact, sales, or partnership enquiry; request a gated resource (for example, a case studies summary), delivered through a single-use, expiring download link sent to the email you provide; browse and apply to open roles in the careers section; and subscribe to or unsubscribe from follow-up email. The Site has no user-account or login system, and these Terms do not cover account creation, subscriptions, or billing; they are scoped to use of the website and its content and forms only. Any engagement of GDBI’s consulting services or use of the Noème.AI product suite is governed by a separate, signed agreement between GDBI and the customer, not by these Terms.

2. Definitions

  • “Site” means globaldataandbi.com and the pages, forms, and content published on it.
  • “GDBI,” “We,” “Us,” “Our” means Global Data and BI Inc.
  • “You,” “User” means anyone browsing or using the Site.
  • “Content” means the text, design, graphics, logos, and underlying code published on the Site.

3. Use and Undertakings of the User

3.1 Who can use this Site

The Site is directed at businesses and working professionals evaluating GDBI’s services, and at job applicants. It is not directed at children, and you must be old enough in your jurisdiction to enter into a binding agreement to submit any form on the Site.

3.2 Acceptable use

You agree not to, and not to attempt to:

  • Submit false, misleading, or fraudulent information through any form on the Site, including impersonating another person or company;
  • Circumvent or interfere with the Site’s anti-abuse controls, including its bot checks or rate limits described in our Privacy Policy, for example by scripting form submissions, or by using another person’s contact details to trigger verification, download, or unsubscribe email at volume;
  • Attempt to gain unauthorized access to the Site, its underlying infrastructure, or any data submitted by other users, including by probing, scanning, or exploiting a gated download link that was not issued to you;
  • Use any automated means (bots, scrapers, crawlers) to access the Site in a way that places an unreasonable load on it or is not permitted by our robots.txt;
  • Upload or transmit any virus, malware, or other harmful code through any form on the Site;
  • Use the Site to violate any applicable law, including Canada’s anti-spam legislation (CASL), or to infringe the intellectual property, privacy, or other rights of any third party;
  • Use content from the Site to build a competing product or service, or to train a machine-learning model, without our prior written consent.

We may suspend or block access from any source we reasonably believe is violating this section, without notice, consistent with how the Site’s existing rate-limiting and bot-check controls already operate.

3.3 Information you submit to us

When you submit a form, a contact, sales, or partnership enquiry, a download request, or a job application, you represent that the information you provide is accurate and that you have the right to provide it (for example, that a phone number or work email you list is genuinely yours or one you’re authorized to use). We process what you submit as described in our Privacy Policy and, for job applications, the Global Recruiting Privacy Policy. Do not submit sensitive personal information (such as health information, government ID numbers, or financial account details) through the Site’s general contact forms; they are not designed to collect or protect that category of information. Resume and application content submitted through the careers section is handled as described in the Global Recruiting Privacy Policy.

3.4 Suspension and termination of access

We may suspend or terminate your access to the Site or any of its forms, without notice, if we reasonably believe you have violated section 3.2 (Acceptable Use) or otherwise misused the Site. Sections of these Terms that by their nature should survive termination (including sections 4, 3.3, 6.2, 6.3, and 6.4) will continue to apply.

4. Intellectual property

The Site and its Content, including the “Global Data and BI” and “Noème.AI” names and marks, are owned by GDBI or its licensors and are protected by copyright, trademark, and other intellectual property laws. Browsing the Site gives you no licence to reproduce, distribute, modify, or create derivative works from its Content beyond what is reasonably necessary to view it in a standard web browser, and beyond normal, attributed quoting or sharing of a link.

Any feedback, suggestions, or ideas you send us about the Site may be used by GDBI without restriction or obligation to you, unless we agree otherwise in writing.

5. Hyperlinks

5.1 Links from this Site

The Site may link to third-party websites (for example, professional networking profiles, partner sites, or resources you provide a link to as part of a job application). We do not control and are not responsible for the content, privacy practices, or availability of any third-party site. Use of any third-party site is governed by that site’s own terms.

5.2 Links to this Site

You may link to the Site’s publicly available pages, provided the link does not suggest GDBI endorses, sponsors, or is affiliated with your site or its content unless that is actually the case, and provided the Site is not framed or presented in a way that misrepresents its content or origin. We may ask you to remove a link that does not meet these conditions.

6. Formal notice

6.1 No professional advice

Content on the Site, articles, case studies, service descriptions, and similar material, is provided for general informational purposes about GDBI’s work and is not a substitute for professional advice specific to your organization’s circumstances. Any engagement for actual consulting, data, or AI/ML services is governed by a separate signed agreement, not by anything published on the Site itself.

6.2 Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. GDBI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DOWNLOAD LINK, VERIFICATION LINK, OR EMAIL YOU ARE EXPECTING WILL ARRIVE WITHOUT DELAY.

We build reasonable safeguards, described in our Privacy Policy, to reduce that risk, but no website can eliminate it entirely.

6.3 Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GDBI AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF GDBI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation does not apply where it is not permitted by applicable law, including liability for gross negligence, wilful misconduct, or death or personal injury caused by our negligence, and, for EU/UK users, any liability that cannot lawfully be excluded under mandatory consumer-protection law in their jurisdiction.

6.4 Indemnification

You agree to indemnify and hold GDBI harmless from any claim, loss, or expense (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Site, except to the extent caused by GDBI’s own breach of these Terms or applicable law.

7. Updates of these Terms and applicable law

7.1 Governing law and jurisdiction

These Terms are governed by the laws of Ontario, Canada, and Canadian federal law applies where relevant (for example, CASL), without regard to conflict-of-law principles.

If you are located in the European Union, EEA, UK, or Switzerland, nothing in this section deprives you of the protection of any mandatory provisions of the law of the country in which you are resident, and nothing here overrides your rights as a data subject under the GDPR, which are addressed in our Privacy Policy rather than in these Terms.

7.2 Dispute resolution

Before initiating a formal legal claim, we ask that you first contact us at data-protection@globaldataandbi.com so we can try to resolve the issue informally.

7.3 Changes to the Site and these Terms

We may modify or discontinue any part of the Site, including a particular form or downloadable resource, at any time. We may update these Terms from time to time; the “Last updated” date at the top of this page will reflect the most recent revision, and continued use of the Site after a change takes effect constitutes acceptance of the revised Terms. Where a change is significant, We will provide more prominent notice, consistent with how our Privacy Policy handles significant changes.

7.4 General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be interpreted to best reflect its original intent. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Policy and, for applicants, the Global Recruiting Privacy Policy, are the entire agreement between you and GDBI regarding use of the Site.
